Terms of Service
These terms explain the rules for using Technology Solutions PA websites, support channels, managed technology services, communications services, and related solutions.
User Agreement
These Terms of Service govern access to and use of Technology Solutions PA websites, support channels, managed IT services, VoIP and communications services, backup services, security services, software, documentation, and related technology solutions. By using our website, requesting service, signing a proposal, opening a ticket, or using services we provide, you agree to these terms.
References to “Technology Solutions PA,” “Tech Solutions PA,” “TSPA,” “we,” “us,” and “our” mean Technology Solutions PA. References to “you” and “customer” mean the person or organization using the website or services.
Changes to These Terms
We may update these terms from time to time to reflect changes in our services, operations, security requirements, vendors, or applicable law. Updated terms will be posted on this website and are effective when posted unless a later effective date is stated.
Material service terms contained in a signed agreement, accepted quote, or statement of work will remain governed by that document unless both parties agree otherwise in writing.
Eligibility and Authority
You may use our services only if you are legally able to enter into a binding agreement. If you use the services for a business, nonprofit, school, club, or other organization, you represent that you are authorized to accept these terms on its behalf.
You are responsible for ensuring that your users, employees, contractors, and guests follow these terms when using systems or services provided by Technology Solutions PA.
Registration and Communications
Some services may require account setup, contact information, billing information, administrative credentials, service addresses, device details, or network information. You agree to provide accurate and current information and to promptly notify us of changes that affect service delivery, billing, security, or emergency support.
You consent to receive service-related communications by email, phone, SMS, ticketing systems, remote support tools, customer portals, or other electronic methods. These communications may include support updates, outage notices, invoices, security alerts, and administrative requests.
Software and License Use
Where we provide or configure software, applications, phone systems, security tools, backup agents, remote access tools, or cloud services, your use is limited to the scope of the applicable license, subscription, vendor terms, and accepted proposal. Unless expressly stated otherwise, no ownership interest in third-party software, hosted platforms, source code, or vendor systems is transferred to you.
You may not reverse engineer, resell, sublicense, tamper with, bypass licensing or security controls, or use any software or system in a manner that violates vendor terms or applicable law.
Technical Requirements
Reliable service depends on working internet access, electrical power, compatible hardware, supported operating systems, accurate DNS and network settings, adequate bandwidth, and cooperation from third-party vendors. You are responsible for maintaining the facilities, access, accounts, and equipment that are outside our managed scope.
For VoIP and communications services, call quality and availability may be affected by internet performance, carrier routing, device configuration, firewall settings, power outages, emergency service limitations, and conditions outside our control.
Payment Policy
Fees, billing cycles, deposits, recurring charges, project charges, hardware costs, licensing costs, taxes, cancellation terms, and late-payment terms are governed by the applicable quote, invoice, subscription, statement of work, or managed services agreement.
Unless otherwise agreed in writing, payment is due according to the invoice terms. We may suspend or limit service for nonpayment, suspected fraud, chargebacks, or failure to maintain required billing information, subject to any notice requirements in your agreement.
Maintenance and Downtime
We may perform maintenance, updates, security patches, migrations, reboots, vendor changes, and emergency repairs. We will attempt to schedule disruptive work reasonably when practical, but urgent security or stability work may be performed without advance notice.
Services may be unavailable or degraded due to maintenance, carrier outages, software defects, hardware failure, power failure, internet disruption, third-party platform outages, cyber incidents, or events beyond our reasonable control.
Accounts and Security
You are responsible for protecting passwords, MFA devices, administrative accounts, endpoints, network equipment, and user access assigned to your organization. Notify us promptly if you suspect unauthorized access, credential compromise, malware, suspicious activity, or loss of a device connected to your systems.
We may take reasonable protective action, including temporarily disabling access, blocking traffic, resetting credentials, isolating systems, or suspending services, when we believe it is necessary to protect your environment, our systems, other customers, or the public internet.
User Obligations
You agree not to use the website or services to transmit malware, send unlawful spam, attack or scan systems without authorization, infringe intellectual property rights, harass others, commit fraud, violate privacy rights, intercept communications unlawfully, or engage in activity that is illegal, abusive, deceptive, or harmful.
You are responsible for the content, data, instructions, configurations, and access you provide to us. You also agree to maintain appropriate backups, insurance, compliance procedures, and internal controls unless those responsibilities are expressly included in a written service agreement with us.
Privacy and Data
Our handling of personal information is described in our Privacy Policy. In the course of support and managed services, we may access customer systems, logs, device information, contact information, files, messages, call records, backups, credentials, and other data only as needed to provide, secure, troubleshoot, document, bill, and improve the services.
You remain responsible for determining whether your environment is subject to specific legal or regulatory requirements, including HIPAA, PCI DSS, CJIS, FERPA, GLBA, or other industry rules, unless we have expressly agreed to a compliance scope in writing.
Restrictions
You may not use our services in a way that damages, disables, overloads, or impairs any network, server, application, phone system, or third-party service. You may not attempt to gain unauthorized access to systems, credentials, customer data, or administrative tools.
You may not remove copyright, trademark, confidentiality, proprietary, or security notices from software, documentation, portals, or materials provided by Technology Solutions PA or its vendors.
Termination of Services
Either party may terminate services according to the applicable written agreement, proposal, or subscription terms. We may suspend or terminate access immediately if continued service creates a security risk, legal risk, operational risk, unpaid balance, vendor violation, or risk of harm to another customer or third party.
After termination, you remain responsible for amounts due, return of loaned equipment, removal or transfer of licenses where applicable, and any transition services requested and accepted in writing.
Limited Liability
To the maximum extent permitted by law, Technology Solutions PA is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, reputational harm, or replacement service costs.
Except where prohibited by law or a separate written agreement, our total liability for claims related to the website or services is limited to the amount you paid to Technology Solutions PA for the affected service during the three months before the event giving rise to the claim.
Breach and Remedies
If you breach these terms, fail to pay, misuse services, violate vendor terms, or create a security or legal risk, we may take reasonable action to protect systems and enforce our rights. Remedies may include suspension, termination, collection activity, removal of unlawful content, refusal of support, or other lawful remedies.
Our delay or failure to enforce a right does not waive that right.
Support and Grievance Process
Questions, concerns, service complaints, privacy requests, or security notices should be sent to info@yourtechpa.com or submitted through the support channel provided to your organization. Please include enough detail for us to identify the account, affected service, requested action, and relevant dates.
We will review requests in good faith and respond within a reasonable time based on the nature and urgency of the issue.
Good Faith Actions
We may make operational, security, routing, vendor, configuration, or service-delivery decisions in good faith to protect customer systems, maintain service stability, prevent abuse, comply with law, or respond to emergencies. We are not responsible for unavoidable service impact caused by reasonable protective action.
Taxes
You are responsible for applicable taxes, fees, surcharges, assessments, duties, or governmental charges related to products and services unless a valid exemption applies and has been provided before invoicing. Taxes and third-party charges may change during the service term.
Entire Agreement
These terms, together with any accepted quote, statement of work, managed services agreement, invoice terms, vendor terms, and referenced policies, form the agreement governing the applicable services. If there is a conflict, the signed written agreement or accepted service order controls for that service.
Force Majeure
Technology Solutions PA is not responsible for delay or failure caused by events outside our reasonable control, including natural disasters, power failures, internet or carrier outages, labor disputes, supply-chain issues, cyberattacks, acts of government, war, civil unrest, pandemics, or failure of third-party platforms.
Governing Law and Interpretation
Unless a written agreement states otherwise, these terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law rules. Section headings are for convenience only and do not affect interpretation. Terms that by their nature should survive termination will survive, including payment, confidentiality, privacy, restrictions, limitation of liability, taxes, and dispute-related provisions.
